Corporate Governance: Policies and Best Practices

INTRODUCTION

Corporate governance is a critical issue that has lately gained traction in business schools and among legislators, and this trend is expected to continue. While there are several models for corporate governance, they all strive to organize the relationship between the organization and its stakeholders. Governance models begin with Shareholder Wealth Maximization (SWM), which emphasizes the rights of owners. Other forms of governance that heavily include the employees and bankers. This course also discusses the reasons why board membership may be one or two levels, as well as board structure, committees, their tasks and duties, the audit committee, and the appointment and remuneration committee.
